UDocs Media Inc. (hereafter, “UDocs”) maintains this website, any courses offered and other linked and related websites (the “Site”, or "Website") for the use of its customers, vendors, students, and other Site users (“Users”) upon agreement to the following terms. Please read the terms carefully before using the Site.
By accessing or using the Website you agree to be bound by these Terms and Conditions of Use (“Terms and Conditions”) and that it forms a binding agreement between you and UDocs. If you do not agree with one or more of these Terms and Conditions, do not access or use this Site. Please check these Terms and Conditions periodically for changes. Your continued use of the Site following the posting of changes to these Terms and Conditions means you accept those changes. The Site provides data and other information and materials including, without limitation, articles, quizzes, tests, news, publications, videos, products, graphics, video, sound, images, icons, software, pictures and other materials for Continuing Professional Education or Continuing Professional Development for Professionals, on this and related Sites and in courses offered through this Site (the “Product”). Users may not modify the Products of this Site in any way, or reproduce, share or distribute them. The content and services on the Site are provided to you subject to your agreement to be bound by these Terms and Conditions. Any breach of these Terms and Conditions automatically terminates your authorized use of the Site.
COPYRIGHT OWNERSHIP
UDocs retains title to and ownership of all rights in and to the Site, including copyright and all other intellectual property rights in the Product / Content published on the Site. In exchange for payment, UDocs grants you a non-exclusive, nontransferable license to use the Product as permitted by these Terms and Conditions. No content from the Site may be copied, reproduced, framed, republished, downloaded, uploaded, or distributed in any way. If you wish to build a hyperlink to the Website, you may do so provided you notify UDocs of your intentions, share the location of this link and agree to cease such link upon request from UDocs if our standards are not met. No other use is permitted without prior written permission from UDocs.
REGISTRATION
Registration is required to purchase and access the Product / Content available on the Site. By registering, you certify that the information you provide in the registration form is accurate. We will establish an electronic record of the information you provide to us and a record of the Product / Content you have purchased under these Terms. This record will be known as ‘Your UDocs Account’. It is your responsibility to ensure all the information entered in Your UDocs Account is correct and up to date. By registering, you agree to accept responsibility and liability for all activity that occurs under Your UDocs Account and password. Any personal information you provide in the registration form or thereafter will be collected in accordance with, and for the express purposes set out in the Privacy Policy. By registering, you agree to receive communications from UDocs electronically. You consent to receiving electronically all agreements, notices, disclosures and other communications that UDocs provides to you for the purpose of delivering to you content and services from the Website.
YOUR INFORMATION
We will collect, store, compile and utilize information about you and your use of the Website, including information that you provide in response to questionnaires, surveys and registration forms. YOUR UDOCS ACCOUNT
During the registration process you will create a username and password. It is important for you to keep your password secure. Any activity under your username and password is your responsibility. You may not transfer or make available your account name and password to others. Any distribution or sharing by you of Your UDocs Account name and password may result in cancellation of your Services without refund and/or additional charges based on unauthorized use. You commit to notify us immediately if you believe that someone else has used your account without authorization.
COMMUNICATIONS
By registering, you consent to receiving communications from UDocs electronically and also consent to receiving electronically all agreements, notices, disclosures and other communications that UDocs provides to you. If you fail to update your information or if all or part of your information is inaccurate, or incomplete, we may not be able to communicate with you and we are not responsible for any missed communications.
FEES AND PAYMENTS
Prices to access the Product / Content available on the Site are in Canadian dollars and exclude any and all applicable taxes, unless expressly stated otherwise. All Products / Content may be accessed on a pay-per-view basis. You shall pay all fees and charges incurred through Your UDocs Account at the rates in effect for the program for which such fees and charges are incurred. You shall pay all applicable taxes relating to use of the Site through Your UDocs Account. To the extent permissible under law, you are responsible for any applicable taxes, whether or not they are listed on your receipt or statement. All applicable taxes are calculated based on the billing information you provide to us at the time of purchase. All authorized charges will be billed to your designated Payment Method on the terms described in the specific offer. If payment cannot be charged to your Payment Method or your payment is returned to us for any reason, we reserve the right to either suspend or terminate your access to the unpaid-for Product / services. It is your responsibility to ensure that sufficient funds are available to cover the charges for the Paid Services, and we have no liability for any overdraft or other fees that you may incur as a result of our processing of your payment.
NO REFUND POLICY
All fees incurred by you through the use of the Site are non-refundable. Advice or opinions are not provided. The Product / content available on the Website is for information purposes only. It is not intended for this content to be relied upon as professional or expert advice or opinions. UDocs may at its sole and absolute discretion cancel or terminate your right to use the Site or any part of the Site at any time, without notice or liability to you or any other person. In the event of termination, the Terms and Conditions shall continue to apply and be binding upon you with respect of your prior use of the Site and of the Product / Content.
WAIVER/SEVERANCE
The failure by UDocs to require or enforce the performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right. Each provision of the Terms and Conditions is severable from the other Terms and Conditions and if any of the provisions contained in these Terms and Conditions are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, the other Terms and Conditions will continue to have full force and effect.
